Terms of Service

These Terms of Service ("Terms") govern all services provided by CoCreate Design("we", "our", or "us") to the client ("you"). By engaging us for design services, you agree to the following terms.

1. Scope of Work

We will deliver design services as agreed in writing (via email or proposal). Any additional work outside the agreed scope will be quoted separately.

2. Quoting and Pricing

All quotes are valid for 30 days unless otherwise stated. Prices are in Australian dollars. Additional charges may apply for:

Revisions exceeding the quoted number,
Rush jobs or out-of-hours requests,
Third-party costs (e.g. fonts, stock images, printing),
International transaction fees or card processing fees.

Clients are responsible for any international transfer charges or payment gateway fees incurred during payment.

3. Intellectual Property

We retain copyright in all work until full payment is received. Upon full payment, you receive:

A non-exclusive licence to use final deliverables for the intended purpose,
No rights to modify, resell, or reuse the work outside the original scope without written permission.

We reserve the right to use completed work, or excerpts thereof, for self-promotion and inclusion in our portfolio, online or in print, unless you request otherwise in writing before the project begins.

4. Payment Terms

A deposit (typically 50%) may be required before work begins.

Final invoices are due within 14 days of issue.

Late payments will incur a 3% fee per week after the due date.

International or credit card payment fees are the responsibility of the client.

5. Cancellation

If a project is cancelled after commencement:

You will be invoiced for work completed to date,
The deposit is non-refundable once work has begun.

6. Third-Party Services

Where we coordinate third-party services (e.g. printers), we act solely as a broker. We are not responsible for delays, errors, or losses caused by third-party suppliers.

7. Client Responsibilities

You agree to:

Provide timely feedback and approvals,
Supply all required assets (text, logos, etc.),
Review and approve work carefully before final sign-off.

Delays in feedback may affect deadlines and delivery.

8. Liability

We will not be liable for:

Losses due to errors in approved proofs or final files,
Delays caused by third parties or unforeseen circumstances.

Our total liability is limited to the amount paid by you for the specific service.

9. Revisions and Approvals

We include a set number of revisions as agreed. Additional revisions or out-of-scope changes will be billed at our hourly rate of $135 per hour. Final approval is your responsibility. Any changes requested after sign-off may incur additional charges.

10. Governing Law

These Terms are governed by the laws of Victoria, Australia, and apply regardless of your location. If you are based outside Australia, you agree that all services are deemed to be delivered from Australia unless otherwise agreed in writing.
